Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Panfolio (the "Service"), operated by Traveltech Consulting ΕΕ, a Greek limited partnership registered under number 162222203000 with tax identification number EL801725430, having its registered address at DIMITRIOU GOUNARI 96, 15125, MAROUSI, Greece ("Company", "we", "us", "our").

By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not create an account or use the Service.

These Terms constitute a legally binding contract between you and the Company. They are governed by the laws of Greece and applicable EU regulations.

2. Definitions

• "Service": the Panfolio web application, including all features, available at tracker.panfolio.app.
• "Account": your registered user account on the Service.
• "User Data": all portfolio data, transaction records, holdings, prices, and other information you input into the Service.
• "Free Plan": the no-cost tier of the Service with limited features.
• "Pro Plan": the paid subscription tier with additional features, as described at panfolio.app/pricing.
• "Subscription Period": the monthly or annual billing cycle of your Pro Plan.
• "You" / "User": the individual accessing or using the Service.

3. The Service

3.1 Panfolio is a portfolio tracking and data visualization tool. It allows you to manually record, organize, and analyze your personal investment holdings. The Service is designed for personal, non-commercial use by individual investors.

3.2 Panfolio does not connect to your brokerage accounts, bank accounts, trading platforms, or any other financial institution. All data in the Service is manually entered by you. We have no access to your actual financial accounts.

3.3 The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

4. Account Registration

4.1 You must be at least 18 years old to create an Account.

4.2 You must provide accurate, current, and complete information during registration and keep it updated.

4.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at legal@traveltech.gr if you suspect unauthorized access.

4.4 One person may hold only one Account. We reserve the right to suspend or terminate accounts at our discretion, in particular in cases of suspected fraud, breach of these Terms, or inactivity of more than 24 months.

5. Subscription Plans and Payment

5.1 Free Plan: We offer a Free Plan with a limited set of features. Features available on the Free Plan are defined at panfolio.app/pricing and may be adjusted at our discretion with reasonable notice.

5.2 Pro Plan: The Pro Plan is a paid subscription providing access to additional features. Current pricing is published at panfolio.app/pricing and excludes applicable VAT.

5.3 Billing: Pro Plan subscriptions are billed in advance, either monthly or annually, depending on the option selected at checkout. Payment is processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method automatically on each renewal date.

5.4 Price Changes: We may modify the Pro Plan price. We will give you at least 30 days' written notice (by email) before any price increase takes effect. Continued use after the effective date of the new price constitutes your acceptance.

5.5 Automatic Renewal: Subscriptions renew automatically at the end of each Subscription Period. For annual subscriptions, we will send a renewal reminder email at least 30 days before the renewal date. You may cancel at any time via Account Settings.

5.6 Taxes: All prices are exclusive of VAT unless otherwise stated. Applicable VAT will be calculated and displayed at checkout based on your billing address.

6. Right of Withdrawal — EU Consumer Law

6.1 If you are a consumer resident in the European Union or EEA, you have the statutory right to withdraw from your Pro subscription within 14 days of purchase without giving any reason (the "Cooling-Off Period").

6.3 To exercise your right of withdrawal (if applicable), notify us within 14 days of purchase by emailing legal@traveltech.gr with your account email and order reference.

7. Cancellation and Refunds

7.1 You may cancel your Pro subscription at any time via Account Settings. Cancellation takes effect at the end of the current Subscription Period, after which your account will revert to the Free Plan.

7.2 No partial-period refunds are provided, except where required by applicable law (including the right of withdrawal in Section 6 where applicable) or at our sole discretion on a case-by-case basis.

7.3 Upon downgrade to the Free Plan, your data will be retained for 30 days, after which portfolio data exceeding the Free Plan limits may become inaccessible. You are encouraged to export your data before your Pro access expires.

8. Acceptable Use

8.1 You agree to use the Service only for lawful purposes and in strict accordance with these Terms.

8.2 You must not:

• (a) use the Service to facilitate any illegal financial activity, including tax evasion, money laundering, fraud, or market manipulation;
• (b) attempt to gain unauthorized access to the Service, other users' accounts, or our backend systems;
• (c) reverse engineer, decompile, or attempt to extract the source code of the Service;
• (d) use automated tools (bots, scrapers) to access the Service without our written consent;
• (e) resell or commercialize the Service or any data obtained from it;
• (f) upload content that is unlawful, defamatory, or infringes third-party rights.

9. Financial Disclaimer — Not Financial Advice

9.1 The Service is provided for informational and organizational purposes only. All data displayed is based on information manually entered by you.

9.2 Nothing in the Service should be construed as financial, investment, tax, legal, or any other type of professional advice.

9.3 The accuracy, completeness, and timeliness of data is solely your responsibility.

9.4 Regulatory Status: Traveltech Consulting ΕΕ is not registered with, authorized, licensed, or supervised by the Hellenic Capital Market Commission (Επιτροπή Κεφαλαιαγοράς), the European Securities and Markets Authority (ESMA), or any other financial regulatory authority in any jurisdiction.

9.5 Market Data: Price data, exchange rates, and any other financial market data displayed or used in calculations in the Service may be delayed, inaccurate, incomplete, or based on data you have entered manually. We make no representation or warranty regarding the accuracy or timeliness of any market data.

9.6 Past Performance: PAST PERFORMANCE DATA SHOWN IN THE SERVICE IS NOT INDICATIVE OF FUTURE RESULTS. PORTFOLIO METRICS AND CHARTS ARE HISTORICAL CALCULATIONS BASED ON YOUR MANUALLY ENTERED DATA ONLY.

9.7 Your Responsibility: You acknowledge that all investment and financial decisions are made solely by you and at your own risk. We strongly recommend that you consult with a qualified, licensed financial adviser before making any investment decisions. Traveltech Consulting ΕΕ and its officers, employees, and affiliates accept no responsibility or liability for any financial loss arising from your use of the Service.

10. Intellectual Property

10.1 The Service, including its design, code, features, and content (excluding User Data), is owned by Traveltech Consulting ΕΕ and protected by applicable intellectual property laws.

10.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

10.3 User Data: You retain full ownership of all User Data you input. By using the Service, you grant us a limited, non-exclusive license to process your User Data solely as necessary to provide the Service to you.

10.4 Aggregated Data: We may use aggregated, anonymized, and de-identified data derived from usage of the Service (which cannot identify you) to improve the Service, generate statistical reports, and develop new features. This does not constitute a transfer of ownership of your data.

11. User Data and Export

11.1 We will provide a data export feature allowing you to download your portfolio data in CSV or JSON format from Account Settings at any time while your account is active.

11.2 Data Retention: Upon account deletion, your portfolio data will be permanently deleted within 30 days. Payment and billing records will be retained for 7 years as required by Greek accounting law (Law 4308/2014). See our Privacy Policy for full details.

12. Third-Party Services

12.1 The Service integrates third-party services including Supabase (database), Google (authentication and analytics), Stripe (payments), and Resend (email). Your use of these services is also governed by their respective terms and privacy policies.

12.2 We are not responsible for the availability, accuracy, or content of third-party services. Links to third-party websites are provided for convenience only.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, in no event shall Traveltech Consulting ΕΕ, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation: loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or financial losses arising from your use of or inability to use the Service.

13.2 Our total aggregate liability to you for all claims arising out of or relating to the Service, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total amount paid by you to us in the 12 months preceding the claim; or (b) €50.

13.3 Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

14. Disclaimer of Warranties

14.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

14.2 WE DO NOT WARRANT THAT:

• (a) the Service will be uninterrupted, timely, secure, or error-free;
• (b) portfolio valuations, price data, or any performance calculations will be accurate, current, or complete;
• (c) any defects or errors in the Service will be corrected;
• (d) the Service meets your specific requirements or investment needs.

14.3 Since the Service relies on data manually entered by you, we are not responsible for any errors in calculations, valuations, or performance figures resulting from inaccurate, incomplete, or missing data.

15. Indemnification

You agree to defend, indemnify, and hold harmless Traveltech Consulting ΕΕ and its affiliates from and against any claims, liabilities, damages, and expenses (including legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your User Data; or (c) your violation of any applicable law or third-party rights.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Greece and applicable EU regulations, without regard to conflict of law principles. Subject to Section 17, disputes shall be submitted to the exclusive jurisdiction of the courts of Athens, Greece.

If you are a consumer in the EU/EEA, you also benefit from the mandatory consumer protection provisions of the law of your country of residence.

17. Online Dispute Resolution

If you are a consumer in the EU, you may submit a dispute to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Our contact email for ODR purposes is legal@traveltech.gr.

18. Termination

18.1 By You: You may close your account at any time by going to Account Settings. You are encouraged to export your data before closing your account.

18.2 By Us: We may suspend or terminate your account immediately without prior notice if: (a) you breach any material provision of these Terms; (b) we are required to do so by law or a competent authority; or (c) we reasonably believe your use of the Service poses a material risk to us or other users. We will make reasonable efforts to notify you of termination by email.

18.3 Effect of Termination: Upon termination, your right to access the Service ceases immediately. Data retention following termination is governed by our Privacy Policy.

19. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or via a prominent in-app notice at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. The current version is always available at panfolio.app/terms.

20. Miscellaneous

20.1 Severability: If any provision of these Terms is found invalid or unenforceable by a competent court, the remaining provisions continue in full force and effect.

20.2 No Waiver: Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.

20.3 Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.

20.4 Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a corporate restructuring, merger, or sale of assets.

20.5 Language: These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
